Strike Off Service
Company strike off is a formal process carried out to dissolve a company, typically prompted by factors like financial insolvency, cessation of business operations, or fulfillment of its goals.
In this procedure, the company's assets are allocated, remaining debts are resolved, and ultimately, the company is removed from the official register, thereby terminating its legal existence.
Conditions for Striking Off a Company
ACRA will only strike a company off the register only if the company meets the following conditions:
- The company has ceased operation.
- The company is not and will not be involved in any court proceedings in or outside Singapore.
- The company has no assets and liabilities.
- The company has no outstanding penalties or offers of composition due to ACRA and is not indebted to other government departments.
- The company has no outstanding tax liabilities to the Inland Revenue Authority of Singapore (IRAS).
- The company has no outstanding charges in its charge register (e.g. no mortgages, etc.).
- None of the officers of the company have outstanding ACRA summonses.
- If the Company is GST registered, kindly cancel it before the Company is submitted for strike off.
Process of a Company Strike-Off
The process of a company striking off involves several steps:
Upon strike-off approval, a Striking-Off Notice will be sent to the company's registered office, directors' residential addresses, and IRAS within 14 days of receiving the application. |

The Striking-Off Notice grants a one-month period for individuals to raise objections to the application, if desired. |

After one month, a notification will be published in the Government Gazette, indicating the intention to strike off the company from the register in two months.

After two months, a final notification will be issued, confirming the company's strike-off and specifying the date of removal from the register. |
The entire strike off process takes up to 4 months.
